These Terms of Use ("Terms") govern your access to and use of the Sophian micro-learning platform, our websites, and our mobile applications (together, the "Services"), provided by Being Essential Consulting SA, owner of the Sophian micro-learning product ("Sophian," "we," "us," or "our"). Please read them carefully.
1. Acceptance of terms
The Services are offered solely to organizations and their Authorized Users for business and professional purposes. They are not available to, intended for, or sold to individual consumers, and no individual may sign up for the Services in a personal capacity.
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Services. Where your organization has a separate written agreement with Sophian (an "Enterprise Agreement"), that agreement governs and controls in the event of any conflict with these Terms.
2. Definitions
- "Customer" means the organization that subscribes to the Services.
- "Authorized User" means an individual permitted by a Customer to use the Services.
- "Content" means learning materials, videos, text, assessments, and other materials made available through the Services, including third-party licensed content.
- "Your Content" means materials you submit through the Services, such as responses and feedback.
3. Eligibility & accounts
Access to the Services is provided only to Authorized Users designated by a Customer. The Services are not available for personal, consumer, or individual sign-up, and accounts may only be created and used within an organizational Customer relationship. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. The Services
Sophian provides bite-sized, in-the-flow-of-work learning experiences, including adaptive learning paths, interactive exercises, assessments, and progress insights, with content offered in partnership with providers such as Harvard Business Impact. We may modify, enhance, or discontinue features of the Services from time to time. We do not guarantee that the Services will be uninterrupted or error-free.
5. Subscriptions & orders
Access to the Services is generally provided under a subscription or order placed by a Customer. Fees, subscription terms, user limits, and renewal conditions are set out in the applicable order or Enterprise Agreement. Unless stated otherwise, fees are non-refundable and exclusive of taxes.
6. Acceptable use
You agree not to:
- Copy, distribute, resell, sublicense, or publicly display Content except as expressly permitted.
- Reverse engineer, decompile, or attempt to derive source code from the Services, except where permitted by law.
- Access the Services to build a competing product or to benchmark without authorization.
- Upload malware, interfere with or disrupt the Services, or attempt to gain unauthorized access.
- Use the Services in violation of applicable law or third-party rights, or to harass, abuse, or harm others.
- Share account credentials or exceed your licensed number of Authorized Users.
7. Intellectual property
The Services and all Content (excluding Your Content) are owned by Sophian or its licensors and are protected by intellectual property laws. Third-party Content, including content from Harvard Business Impact, is licensed and remains the property of its respective owners. Subject to these Terms and payment of applicable fees, we grant Authorized Users a limited, non-exclusive, non-transferable, revocable right to access and use the Services and Content for internal learning and development purposes only. The Sophian name and logo are trademarks of Sophian and may not be used without permission.
8. Your content
You retain ownership of Your Content. You grant Sophian a worldwide, non-exclusive, royalty-free license to host, process, and use Your Content as needed to provide and improve the Services and as otherwise described in our Privacy Policy. You are responsible for ensuring you have the necessary rights to submit Your Content and that it does not violate these Terms or applicable law.
9. Mobile applications
Our mobile applications are distributed through the Apple App Store and Google Play and are subject to those platforms' terms in addition to these Terms. Downloading an application does not by itself grant access to the Services; access requires credentials issued through an organizational Customer. If there is a conflict between an app store's terms and these Terms regarding your use of the app, the app store's terms control to the extent required. Apple and Google are not responsible for the Services or any support related to them.
10. Third-party services
The Services may integrate with or link to third-party products and services, including identity providers and content partners. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.
11. Disclaimers
The Services and Content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Sophian does not warrant that the Services will meet your requirements or that learning outcomes or results will be achieved.
12. Limitation of liability
To the maximum extent permitted by law, Sophian and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Sophian's total aggregate liability arising out of or relating to the Services will not exceed the amounts paid for the Services in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Sophian and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, Your Content, or your violation of these Terms or applicable law, except to the extent caused by Sophian's own breach or negligence.
14. Term & termination
These Terms remain in effect while you use the Services. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Services or other users. Upon termination, your right to use the Services ends, and provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
15. Governing law & disputes
These Terms are governed by the laws of Greece, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in Athens, except that either party may seek injunctive relief where appropriate.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
